1. Who we are

Stay With It is a weekly marketing planner provided by Vermilion Marketing LLC ("we", "us", "our"). By creating an account or using the service, you ("you", "user") enter into an agreement with Vermilion Marketing LLC.

2. Acceptance of terms

By creating an account, accessing, or continuing to use Stay With It, you agree to be bound by these Terms. If you do not agree, do not use the service. You confirm you are of legal age in your jurisdiction and, if signing up on behalf of an organization, that you have authority to bind that organization.

3. The service

Stay With It provides a weekly task planner, reminders, and related tools to help coaches and small business owners stay consistent with their marketing. Features may change over time. We may add, remove, or modify features at our discretion.

4. Your account

You are responsible for keeping your login credentials confidential and for all activity that happens under your account. You must provide accurate information at signup and keep it up to date. Notify us promptly if you suspect unauthorized access.

5. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable law.
  • Engage in fraud, spam, phishing, or any deceptive activity.
  • Infringe the intellectual property or privacy rights of others.
  • Attempt to gain unauthorized access to the service, probe its security, introduce malware, scrape data at scale, or interfere with normal operation.
  • Resell, redistribute, or sublicense the service without our written permission.
  • Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.

6. Intellectual property

Stay With It, including its software, design, content, and branding, is owned by Vermilion Marketing LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for its intended purpose, within the plan you have selected, for as long as your subscription is active.

You retain ownership of content you create in the planner. You grant us a limited license to host, store, and process that content solely to provide the service to you.

7. Payment, billing, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time from your account settings; access continues through the end of the current paid period.

8. Free trial

New users receive a 7-day free trial. No payment information is required to start the trial. After the trial ends, continued use of paid features requires an active subscription.

9. Suspension and termination

We may suspend or terminate your access to the service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. You may terminate your account at any time. Upon termination, your right to use the service ends immediately. We may retain certain data as required by law or for legitimate business purposes.

10. Service availability

We work hard to keep Stay With It available and reliable, but we do not guarantee uninterrupted, error-free, or secure operation. The service is provided "as is" and "as available."

11. Disclaimer of warranties

To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Stay With It is a planning tool; it does not provide legal, financial, marketing, medical, or other professional advice.

12. Limitation of liability

To the maximum extent permitted by law, Vermilion Marketing LLC's total aggregate liability arising out of or related to the service shall not exceed the amount you paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury where such limitation is prohibited by law.

13. Indemnification

You agree to indemnify and hold harmless Vermilion Marketing LLC from any claims, damages, or expenses arising out of your content, your use of the service in violation of these Terms, or your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. Any dispute shall be resolved in the state or federal courts located in North Carolina.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

16. Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

17. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, internet outages, or third-party service failures.
